Description:

In this next joint DEN-LA, Caltech eClub event, Julian Chan, Esq. will describe the common legal issues that must be nailed down at the founding of a company; if not, they can destroy a startup years down the road. Topics include misunderstandings related to ownership, reputation, money, and labor that can cause conflict among founders, corporate structures that can create misaligned incentives and cause investors to flee, and negligence of IP issues that can jeopardize your company's assets.

 

Biography:

Mr. Chan received is AB from Brown University and his JD from the UPENN Law School. He started his career as the acting General Counsel of Peritus Software Services, a start-up software services company that, while he was there, grew from 30 employees to 500. A year after Peritus raised $60 million through its Nasdaq IPO at a $500 million valuation, he then founded the Idealflow Angel Fund, an angel investment fund composed of partners that are very high profile Chinese entrepreneurs, such as Milton Chang, Daniel Kwoh, Albert Yu, David Lee, Dominic Chan and Sai-Wai Fu. He served as its primary screening partner and as the President of its consulting and incubation arm.

 

In 2000, he joined Univessence Digital Studio as its General Counsel and COO and managed over 20 acquisitions of Chinese, Cayman Island, BVI and Bermuda companies. In 2006, he started his own legal practice focusing on technology and entertainment, often providing legal services to start-ups and various funds. In 2006, Legalmatch named him Attorney of the Year for Los Angeles in the Business services category. He is the former Chairman of FF fraternity Los Angeles Lodge, the oldest Chinese fraternity in the US, as well as the incoming Chairman of the SOCAL Monte Jade Science and Technology Association.
